Terms of service

The terms you agree to.

These are the rules of the road for using Wootality. We've tried to write them honestly, in language you can actually read. The plain-English summary below is the part most people need; the rest is the detail.

These are our standard terms. If you have specific questions or need a custom agreement, email hello@wootality.com.

Plain-English summary

  • You're responsible for your account, your credentials, and what gets done with them.
  • Don't use Wootality to do illegal, abusive, or exploitative things. Don't try to break the service.
  • We do our best to keep the service up, but we don't promise uptime numbers outside of an Enterprise agreement.
  • Either of us can end the relationship at any time. If we end yours for cause, we'll tell you why.
  • Our liability is limited. The full legal language is below; the short version is "we owe at most what you paid us."

Your account

To use Wootality you need an account. You must give us accurate information when you sign up and keep it up to date.

  • You're responsible for keeping your account credentials safe.
  • You're responsible for everything done under your account, including by anyone you let in.
  • You must be at least 13 years old (or the minimum age required where you live) to use Wootality.
  • If you're using Wootality on behalf of an organization, you're confirming that you have authority to bind that organization to these terms.

If you notice unauthorized use of your account, tell us right away at hello@wootality.com.

Acceptable use

Don't use Wootality to do, attempt, or help anyone do the following:

  • Anything illegal under the laws that apply to you or to us.
  • Generate, store, or distribute child sexual abuse material (CSAM). We will report it to the relevant authorities.
  • Harass, threaten, dox, defame, or otherwise harm another person.
  • Promote violence or self-harm, or facilitate the planning of either.
  • Build weapons, malware, or other tools whose primary purpose is to harm people or systems.
  • Send spam, phishing messages, or other unsolicited bulk communications.
  • Misrepresent who you are, who you're acting for, or where output came from in a way that's likely to deceive.
  • Probe, scan, overload, or otherwise attack the service or the infrastructure it runs on, except via a responsible vulnerability report.
  • Reverse-engineer or scrape the service to build a competing product.
  • Use the service in a way that violates the acceptable-use rules of the AI model providers we use on your behalf.

We may suspend or terminate accounts that we reasonably believe are doing any of the above.

Your content

You keep ownership of the content you put into Wootality — messages, documents, agents, skills, and so on ("Your Content"). You grant us a limited license to host, process, and transmit Your Content for the purpose of providing the service to you (including by passing it to the AI model providers and infrastructure vendors described in the privacy policy). That license ends when you delete the content, except where we're legally required to retain it.

You're responsible for making sure you have the rights to the content you upload and to any third-party material that flows through your agents and connectors.

AI-generated output

AI output is generated by third-party models in response to your prompts. We make no warranty that the output is accurate, complete, original, fit for any particular purpose, or free from third-party rights. Treat it as a draft and verify anything that matters.

Payment

Some plans are free and some are paid. When billing is enabled for a paid plan, the following apply:

  • Prices are shown on the pricing page. We may change prices for future billing periods; we'll notify you before a change takes effect.
  • Subscriptions renew automatically at the end of each billing period until cancelled.
  • You can cancel at any time from the app or by emailing us. Cancellation stops future renewals; it does not retroactively refund the period you're currently in, unless we agree otherwise.
  • Fees are exclusive of taxes; you're responsible for any taxes that apply to your purchase.
  • If a charge is wrong, email hello@wootality.com within 60 days and we'll work it out.

Free plans may be subject to usage limits and feature limits described in the app. We may adjust the limits of free plans with reasonable notice.

Service availability

We work hard to keep Wootality up and fast. That said, we don't offer a contractual uptime SLA on standard plans. The service is provided on a best-effort basis.

We may need to take the service down for maintenance, upgrades, security responses, or to fix something that's broken. We'll try to schedule planned maintenance during quieter windows and to communicate it in advance where we can.

Changes to the service and these terms

We're an actively developed product, so the service will change over time. We may add features, change features, and occasionally retire features. Where a change materially reduces the functionality you rely on, we'll try to give reasonable notice.

We may also update these terms. The "Last updated" date at the top will reflect the most recent revision. For material changes, we'll let active accounts know by email or in-app notice before the change takes effect. Continuing to use the service after that point means you accept the updated terms.

Termination

You can stop using Wootality and close your account at any time. See how to request deletion in the privacy policy.

We can suspend or terminate your account if you violate these terms, if your account creates legal or security risk for us or for other users, or if we decide to stop offering the service. Where we terminate for cause, we'll tell you why and (where reasonable) give you a chance to fix it first.

On termination, your right to use the service ends. The sections of these terms that, by their nature, should survive (ownership, disclaimers, limitations of liability, indemnity, and the governing-law section) survive termination.

Disclaimers

To the maximum extent permitted by law, Wootality is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.

Specifically, we don't warrant that AI-generated output is accurate, complete, current, or suitable for any purpose. You are responsible for reviewing it before acting on it.

Limitation of liability

To the maximum extent permitted by law:

  • Neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising out of or related to these terms or the service, even if advised of the possibility.
  • Our total aggregate liability for any claim arising out of or related to these terms or the service is capped at the greater of (a) the fees you actually paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars.

Some jurisdictions don't allow some of these limitations. In those places, the limitations apply only to the maximum extent allowed.

Indemnity

You'll defend, indemnify, and hold Wootality harmless from third-party claims arising out of (a) Your Content, (b) your use of the service in violation of these terms or applicable law, or (c) your infringement of someone else's rights.

Governing law

These terms are governed by the laws of the United States, without regard to its conflict-of-laws principles. The specific state and venue for disputes will be confirmed in writing on request — email hello@wootality.com. Nothing in these terms limits any rights you have under the mandatory consumer-protection laws of the country you live in.

Miscellaneous

  • Entire agreement. These terms, together with the privacy policy and any order form you sign with us, are the entire agreement between us about the service.
  • No waiver. If we don't enforce a right under these terms once, that doesn't waive the right.
  • Severability. If a court finds one part of these terms unenforceable, the rest still applies.
  • Assignment. You may not assign these terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of substantially all of our assets.
  • Independent contractors. Nothing in these terms creates an employment, agency, partnership, or joint-venture relationship between us.
